Shelf Companies / Purchase Terms & Conditions
Review before you purchase. Your entity-specific disclosures and signed purchase agreement define the transaction, services, fees, and cancellation terms. Keep copies with your records.

1. Scope and contracting parties

These terms apply to shelf corporations and limited liability companies purchased through 1 KING CONSULTING LLC, doing business as 1 King Consulting ("1KC," "we," or "us"). "Buyer" means the person or organization identified in the accepted purchase documents. A person signing for an organization must have authority to bind it.

Before paying, review these terms together with the entity disclosures, itemized order, and purchase or transfer agreement. The signed transaction agreement controls any conflict with this page. Mandatory legal rights remain unaffected. Visiting this page or submitting an inquiry does not, by itself, complete a purchase.

2. What you are purchasing

The order must identify the entity’s legal name, entity type, formation state, filing number, formation date, and the ownership interest being transferred. It must also describe the documents and administrative services included and identify the transferor and 1KC’s role.

Only assets and services expressly listed in the accepted order are included. Banking, credit-building, consulting, registered-agent service, licenses, domains, and other add-ons require a stated scope and price; they are not included merely because the company is described as a shelf company.

3. Formation age and business history

An earlier formation date does not establish operating experience, revenue, payment history, creditworthiness, or funding eligibility. A shelf company is generally held inactive for later transfer. Its actual activity, tax status, debts, and records must be checked individually.

We do not make a blanket promise that every available entity has no liabilities, prior EIN, accounts, or filings. Any transaction-specific representation must appear in the written disclosures. Buyers must distinguish formation, acquisition, and actual operation dates in applications and communications.

4. Quotes, availability, and payment

An inquiry or displayed option does not reserve an entity. Availability, any reservation period, the purchase price, payment schedule, and acceptance requirements must be confirmed in writing. Pay only through the payment instructions supplied with your order.

Before payment, request an itemized statement of the purchase price, administrative charges, government fees, taxes if applicable, and optional services. Ongoing costs must be identified separately. Additional work outside the accepted scope requires your approval; this page does not authorize an automatic subscription or recurring charge.

5. Review before purchase

Ask for the records needed to evaluate the proposed entity before authorizing the transfer. Review state status, ownership authority, amendments, available tax and financial records, liens, litigation, and any disclosed obligations with your advisers. State acceptance of a company name does not establish trademark clearance.

Tell us promptly about a discrepancy or missing document. Seek written clarification before proceeding. A purchase should not rely on an oral assurance that conflicts with the written order.

6. Transfer and delivery

The accepted purchase agreement must state the documents to be delivered, completion conditions, responsible parties, and expected timing. Signing, cleared payment, identity checks, and state processing may affect completion. Estimates are not guaranteed deadlines unless expressly agreed in writing.

Do not represent yourself as the owner, use the entity’s identity, or act on its behalf until the applicable transfer conditions are satisfied. Review delivered documents promptly and report errors in writing so they can be addressed.

7. Cancellations, refunds, and unavailable entities

Any deposit, reservation, cancellation, refund, substitution, or nonrefundable-fee rule must be disclosed in the written purchase agreement before you pay. This page does not create a blanket all-sales-final policy or override rights provided by law.

Send cancellation or refund requests to admin@1kingconsulting.com with your order reference and reason. Ask for written confirmation of the request and its disposition. If the selected entity becomes unavailable before completion, a replacement requires your agreement; the handling of payments follows your purchase agreement and applicable law.

8. Buyer responsibilities after transfer

Maintain accurate ownership and company records, required filings, registered-agent arrangements, licenses, insurance, tax reporting, and any qualification needed where you conduct business. Confirm which responsibilities begin at closing and which, if any, 1KC has separately agreed to perform.

EIN treatment depends on the entity and transaction. Consult current IRS guidance and a qualified tax adviser to determine whether an EIN application or update is needed. Do not obtain a duplicate EIN solely because ownership changed without checking the applicable rules.

9. Accurate information and lawful use

Provide truthful information and cooperate with reasonable verification requests. Do not submit altered records, conceal ownership, impersonate another person, evade legal obligations, or present dormant years as years of active trade. Do not use the entity to make misleading credit, contract, insurance, or licensing applications.

1KC may pause work while material discrepancies or legal concerns are resolved. Any termination and treatment of funds remain subject to the purchase agreement and applicable law.

10. No promised financing or other outcome

An entity purchase does not include a promise of a bank account, credit limit, loan, grant, contract, tax benefit, or approval without a personal guarantee. Any additional service must be separately documented. Decisions by banks, lenders, agencies, and other providers remain their own.

11. Professional advice and written commitments

Our administrative coordination and educational materials do not replace advice from your own licensed attorney, accountant, or tax professional. Engage appropriate advisers before purchasing and operating an entity.

General website statements are not entity-specific warranties. This does not cancel an express written promise made in your purchase agreement or exclude a warranty or remedy that applicable law does not permit us to exclude.

12. Questions, claims, and disputes

Report a concern in writing with the entity name, order reference, relevant documents, and requested resolution. We encourage a good-faith attempt to resolve it directly.

Any agreed governing law, court venue, arbitration provision, indemnity, or liability limitation must be stated in the signed purchase agreement and is subject to applicable law. This page does not impose mandatory arbitration, select a court, cap damages, or waive non-waivable rights.

13. Privacy and communications

Our Privacy Policy explains the handling of personal information. Use an approved secure channel for identity documents and sensitive transaction records; do not email Social Security numbers, bank credentials, or complete identity documents.

Providing information for an order does not automatically enroll you in marketing texts. Any marketing consent is handled separately from purchase administration.

14. Updates and acceptance

These terms were last updated October 17, 2026. Later website changes do not retroactively change an accepted purchase. Amendments to an existing transaction follow its written agreement.

Before payment, retain a copy of the terms and documents supplied for your transaction. Any electronic acknowledgment should identify the terms accepted and accompany the transaction record.
